PLEASE READ THESE TERMS CAREFULLY. THEY GOVERN YOUR USE OF THE PAYZIUM SERVICES AND YOUR APPLICATION TO PROCESS CARD PAYMENTS THROUGH PAYZIUM. THEY REFERENCE TWO STANDALONE PAYZIUM GUARANTEES (SECTION 7), LIMIT OUR LIABILITY (SECTION 14), AND, FOR UNITED STATES USERS, REQUIRE INDIVIDUAL ARBITRATION OF DISPUTES AND WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION (SECTION 17.1).
1. Acceptance and Scope
These Terms of Service (the "Terms") form a binding contract between you, the business or person acting on behalf of a business that uses our Services ("you" or "User"), and the Payzium entity identified in Section 2 ("Payzium", "we", "us", "our"). They cover your access to and use of payzium.com, the application and account-boarding process, the published pricing and savings tools, related communications, and any other website, application, or service that links to these Terms (collectively, the "Services").
Acceptance. By applying for a Payzium merchant account, submitting information through our application, creating an account, or otherwise using the Services, you accept these Terms. If you are accepting on behalf of a business, you represent that you have the authority to bind that business, and "you" and "User" mean both you and that business.
B2B service. The Services are intended for businesses and the individuals who act on their behalf in a professional capacity. The Services are not directed to consumers in their personal capacity. By using the Services, you represent that you are using them for business purposes.
Order of precedence. Several documents may govern aspects of your relationship with Payzium. To avoid doubt:
- The merchant processing agreement between you and the acquirer or payment processor controls everything to do with the processing of your card payments: the processing of transactions, the fees and pricing applied to processing, the term, reserves, chargebacks, and the cancellation of your merchant account. That agreement is a separate contract with the party that boards and operates your account.
- These Terms control your use of the Payzium website, the application and account-boarding flow operated by Payzium, and the published pricing and comparison tools.
- Each standalone guarantee instrument controls itself, on its own signed terms.
Where a matter is governed by more than one of these documents, the document listed above for that matter controls for that matter.
2. Who You Are Contracting With
Payzium operates through two affiliated entities. Which entity is your counterparty under these Terms depends on where your business is located:
- Payzium Corp, a Delaware corporation, is your counterparty if your business is located in the United States, Mexico, the Caribbean, or any jurisdiction other than Canada, the European Economic Area, the United Kingdom, or Switzerland.
- Payzium Holding Inc. / Gestion Payzium Inc., a corporation incorporated under the laws of Canada, is your counterparty if your business is located in Canada, the European Economic Area, the United Kingdom, or Switzerland.
References to "Payzium" in these Terms mean whichever of the two entities above is your counterparty based on your business location. The two entities share infrastructure and operating standards but each remains independently responsible for its own contractual obligations to its Users.
3. Description of Services
The Services include the following, in each case as offered by Payzium from time to time and subject to availability:
- Card-processing service. Payzium is a card-processing service. Payzium markets the service, collects your application and your current processing statement, reviews and prepares your application, and arranges for your account to be boarded with an acquirer or payment processor. The acquirer or processor underwrites your business and boards and operates the dedicated merchant account through which you accept card payments. Payzium does not itself underwrite or board merchant accounts. Payzium publishes its pricing and passes interchange and card-network fees through at cost, charging its own disclosed margin.
- Pricing transparency tools. Payzium publishes its rate card and provides a savings calculator and comparison tools so you can estimate and compare your costs before you apply. These tools are informational and do not constitute an offer of final pricing, which is confirmed on approval.
- Communications. Email, telephone, and other communications relating to your application, your account, follow-up questions, and (where you have opted in or applicable law permits) commercial communications about Payzium services.
How Payzium is compensated. Payzium earns its disclosed margin from your card-processing relationship. Payzium does not charge a separate fee for the application, the savings tools, or the review of your current processing statement.
4. Eligibility and Account Information
You may use the Services only if all of the following are true:
- You are at least 18 years old (or the age of majority in your jurisdiction, if higher).
- You have the authority to act on behalf of the business on whose behalf you apply.
- Your use of the Services and your business activities comply with applicable law.
- You are not located in, or ordinarily resident in, a country subject to comprehensive trade sanctions administered by the United States Office of Foreign Assets Control or by Canada, and you are not on any list of restricted parties maintained by either jurisdiction.
- You have not been previously suspended or removed from the Services by Payzium.
Accuracy of information. You agree that the information you provide to Payzium will be accurate, current, and complete, and you will keep it up to date. Payzium may rely on the information you provide. Submitting falsified documents, documents you do not have authorization to submit, or false business or contact information is a material breach of these Terms.
Account credentials. If we offer accounts and you create one, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
5. Application, Boarding, and Your Authorizations
This Section 5 governs what you provide to Payzium when you apply and what you authorize Payzium to do with it. The Payzium Privacy Policy describes how we handle personal information in more detail, including retention periods, your rights, and the Person in Charge of the Protection of Personal Information for Quebec.
5.1 What you provide
To apply and, if approved, to board your merchant account, you provide:
- Application information: your contact and identity details, your business details, and your processing profile.
- Your current processing statement: your most recent statement from your current card processor. You provide this so that Payzium can confirm the baseline for the 90-Day Processing-Cost Savings Guarantee referenced in Section 7 and so that your application can be reviewed and underwritten. It is not submitted for, and Payzium does not provide, a standalone audit service.
- Boarding documents: where required to board your account and to meet know-your-customer and card-network requirements, identification and verification documents, which may include a government-issued photo identification (front and back), a void cheque or equivalent banking detail, and, where your business is incorporated, your articles of incorporation or equivalent constituting documents.
5.2 What you authorize Payzium to do
By applying and confirming the authorizations in the application, you authorize Payzium to:

Receive, store, and analyze the information and documents above, including by automated and AI-assisted processing, to review and prepare your application, confirm the guarantee baseline, and provide and support the Services.

Store your information and documents using Payzium's infrastructure and service providers. Documents and statements for Canadian Users are stored with Canadian data residency.

Transfer your application and boarding package, including the information and documents above and your authorization records, to the acquiring bank and payment processor that will board and operate your merchant account, for the purpose of boarding and processing. You acknowledge and consent that, for this purpose, your personal information may be communicated outside Quebec and may be communicated outside Canada. The receiving acquirer or processor becomes an independent controller of your information for its own regulatory and business purposes once it accepts the application.

Contact you by email, telephone, or other means you have provided to process your application, ask reasonable follow-up questions, board and service your account, and administer the guarantees.
5.3 What this authorization does not include
The authorization in Section 5.2 does not authorize Payzium to use your information or documents to compete with you, to solicit your customers, or for any purpose unrelated to providing the Services, administering your account and the guarantees, and complying with law.
5.4 Withdrawal of authorization
You may withdraw the authorizations in Section 5.2 at any time by emailing privacy@payzium.com, except to the extent the authorization is necessary to operate a merchant account you have asked Payzium to arrange or to comply with law. Withdrawal does not affect anything Payzium has lawfully done before receiving your withdrawal, and does not by itself close an active merchant account. Payzium will continue to retain records as described in the Privacy Policy and as otherwise required by law.
5.5 Your representations
By providing information and documents under this Section 5, you represent and warrant that:
- The documents are genuine and unaltered and relate to your business or to a business you are authorized to represent in this matter.
- You have the legal right to disclose them to Payzium and to permit Payzium to disclose them to the acquirer or processor as described in Section 5.2.
- Providing them does not violate any contract you have with your current processor or any applicable law.
- The contact information you provide is your own or that of an authorized representative of your business.
6. Pricing Estimates and Comparison Tools
Informational only. Payzium's published rate card, savings calculator, and comparison tools are provided for general information based on the data you enter and on industry information available to Payzium. They do not constitute legal, accounting, financial, tax, or investment advice, and they do not constitute an offer of final pricing. Your final pricing is confirmed when your application is approved.
Limits on accuracy. Estimated savings and effective-rate figures depend on the accuracy and completeness of the information you provide and on industry data that updates over time. Actual savings depend on factors outside Payzium's control, including your transaction mix and future card-network costs. The only express commitments Payzium makes regarding savings and fees are the two standalone guarantees referenced in Section 7, on the terms of their signed instruments.
Use of the tools. Subject to these Terms, Payzium grants you a non-exclusive, non-transferable, non-sublicensable license to use the published pricing tools and any written estimate Payzium provides solely for your business's internal purposes. You may not republish, redistribute, white-label, resell, or use them to develop a competing service.
7. The Payzium Guarantees
Payzium offers two standalone guarantees: the Honest Rate Promise and the 90-Day Processing-Cost Savings Guarantee. Each is a separate Payzium commitment set out in its own signed instrument, each executed by counsel on June 8, 2026, and each is published on its corresponding page at payzium.com.
These Terms do not summarize, restate, vary, or limit the guarantees. The binding terms of each guarantee, including what it covers, what it excludes, the remedy, and how to claim it, are stated only in that guarantee's signed instrument. In case of any inconsistency between these Terms and a guarantee instrument, the guarantee instrument controls for that guarantee.
To invoke a guarantee, email support@payzium.com and follow the process described in the applicable instrument and on its page. The only express commitments Payzium makes regarding savings and fees are those two guarantees, on the terms of their signed instruments.
8. Communications and Marketing
Service communications. By using the Services, you consent to receive Service-related communications from Payzium necessary to process your application, board and service your account, and respond to your inquiries.
Marketing communications. Where applicable law requires opt-in consent for commercial electronic messages (for example, Canada's Anti-Spam Legislation), Payzium will rely only on the consent you provide or on the implied consent permitted by law for B2B communications. You may unsubscribe from marketing communications at any time using the unsubscribe link in any message or by emailing support@payzium.com. Unsubscribing from marketing does not unsubscribe you from Service communications.
Telephone communications. Where you provide a phone number, you consent to Payzium contacting you at that number using manually placed calls and live operators. Payzium does not place automated outbound calls or pre-recorded messages to your cell phone without your express prior written consent.
9. Acceptable Use
You agree not to, and not to permit others to:
- Submit information or documents you do not have the legal right to share with Payzium.
- Submit falsified, fabricated, or altered documents, or documents relating to a business you are not authorized to represent.
- Apply, or take any action, with the primary intent of triggering or attempting to trigger a guarantee payment without a genuine intention to process with Payzium.
- Use any robot, scraper, or other automated means to access the Services other than through publicly documented APIs offered by Payzium.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code, models, or algorithms used by the Services.
- Use the Services to develop, train, or improve a competing product or service.
- Probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measure.
- Use the Services to transmit material that is unlawful, infringing, defamatory, or that contains malicious code.
- Misrepresent your identity or affiliation with any person or organization.
- Use the Services in a manner that interferes with the experience of other Users or imposes an unreasonable load on Payzium's infrastructure.
- Engage in any activity that violates applicable law (including, where applicable, payment-card-industry rules, telemarketing rules, anti-spam law, anti-money-laundering law, sanctions law, and consumer-protection law).
10. Intellectual Property
10.1 Payzium's intellectual property
As between you and Payzium, Payzium and its licensors own all right, title, and interest in and to the Services, the published pricing tools and content, the Payzium analytical methods and benchmarks, the website, the Payzium name and logo, and all related intellectual property. No license is granted to you except as expressly stated in these Terms.
10.2 Your content
You retain ownership of the documents and other content you submit to Payzium ("Your Content"). You grant Payzium a worldwide, royalty-free, non-exclusive license to use, copy, store, modify, create derivative works of, and disclose Your Content as necessary to provide the Services to you, to operate and improve the Services, and to comply with law. The right to disclose Your Content to the acquirer or processor is limited as described in Section 5.
10.3 Aggregate and de-identified data
Payzium may create aggregate, statistical, or de-identified data from the information you submit, where the data does not identify you or any individual. Payzium may use such aggregate or de-identified data for any lawful business purpose, including to improve its analytical models, publish industry benchmarks, and develop new products.
10.4 Feedback
If you provide Payzium with feedback or suggestions about the Services, you grant Payzium a perpetual, irrevocable, worldwide, royalty-free license to use the feedback for any purpose without obligation to you.
11. Confidentiality
Mutual obligation. Each party agrees to keep confidential the non-public business information disclosed by the other party in connection with the Services ("Confidential Information"), and to use it only for purposes of performing or receiving the Services. Each party may disclose Confidential Information to its employees, contractors, advisors, and (in Payzium's case) the acquirer or processor and service providers who have a need to know and who are bound by confidentiality obligations no less protective than those in this Section 11.
Exclusions. Confidential Information does not include information that (a) is or becomes publicly available through no breach of these Terms, (b) was known to the receiving party without restriction before disclosure, (c) is independently developed without use of the disclosing party's Confidential Information, or (d) is rightfully received from a third party without confidentiality obligations.
Compelled disclosure. A party may disclose Confidential Information if compelled by law, provided it gives the other party prompt notice (where legally permitted) and cooperates in efforts to limit the scope of the disclosure.
12. Fees
Payzium charges for card processing according to the published rate card current at your signup: a per-transaction margin, a monthly merchant account fee, and interchange and card-network fees passed through at cost. There is no charge for the application, the savings tools, or the review of your current processing statement. You will also pay any third-party fees disclosed to you (for example, optional hardware). Payzium earns its disclosed margin from the processing relationship as described in Section 3.
13. Disclaimers
THE SERVICES, THE PRICING TOOLS, AND ALL CONTENT MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYZIUM AND ITS LICENSORS, AFFILIATES, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR TRADE USAGE.
WITHOUT LIMITING THE FOREGOING, PAYZIUM DOES NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THE PRICING TOOLS WILL IDENTIFY ALL POTENTIAL SAVINGS OR INEFFICIENCIES, (C) ANY ESTIMATE OF SAVINGS OR EFFECTIVE RATE WILL MATCH ACTUAL EXPERIENCE, OR (D) THE ACQUIRER OR PROCESSOR WILL APPROVE YOUR APPLICATION OR DELIVER THE SERVICE QUALITY YOU EXPECT. THE ONLY EXPRESS COMMITMENTS PAYZIUM MAKES REGARDING SAVINGS AND FEES ARE THE TWO STANDALONE GUARANTEES REFERENCED IN SECTION 7, ON THE TERMS OF THEIR SIGNED INSTRUMENTS.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed under applicable law, the disclaimers in this Section 13 apply to the maximum extent permitted by that law.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PAYZIUM, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PAYZIUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PAYZIUM'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL OF PAYZIUM'S OWN MARGIN AND PAYZIUM-ORIGINATED FEES THAT YOU PAID TO PAYZIUM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, EXPRESSLY EXCLUDING INTERCHANGE, CARD-NETWORK ASSESSMENTS, AND ANY OTHER AMOUNTS PASSED THROUGH AT COST, WHICH ARE NOT PAYZIUM'S REVENUE, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD). WHERE PAYZIUM IS LIABLE TO MAKE A PAYMENT UNDER A GUARANTEE, THAT PAYMENT IS PAYABLE IN ADDITION TO THIS CAP.
Quebec users. Nothing in these Terms limits liability that cannot be limited under applicable Quebec law, including liability for gross or intentional fault and liability for bodily or moral injury caused to a person.
Other jurisdictions. If applicable law does not permit the limitations in this Section 14 in whole or in part, those limitations apply to the maximum extent permitted by law and will not exclude any liability that cannot be excluded.
15. Indemnification
By you. You agree to defend, indemnify, and hold harmless Payzium, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms, (b) your violation of any law or third-party right (including any agreement you have with your current processor), (c) Your Content or any information or document you submit, or (d) any allegation that your authorization in Section 5 was not validly given by a person with authority to give it.
By Payzium. Payzium will defend you against any third-party claim alleging that the Payzium-developed pricing tools and content, as provided by Payzium and used by you in compliance with these Terms, infringe that third party's United States or Canadian copyright or trademark, and will pay damages and costs finally awarded against you for such claim, provided you promptly notify Payzium, allow Payzium sole control of the defense and settlement, and provide reasonable cooperation. The foregoing does not apply to claims arising from (i) your modification of the tools or content, (ii) your use of the tools or content in combination with any other product or service not provided by Payzium, or (iii) Your Content.
These provisions state Payzium's sole obligations and your sole remedy with respect to third-party intellectual-property claims relating to the Services.
16. Term and Termination
Term. These Terms apply from the time you first use the Services and continue for as long as you use them.
Termination by you. You may stop using the Services at any time and may request deletion of your information as described in the Privacy Policy. Closing an active merchant account is governed by the merchant processing agreement.
Termination by Payzium. Payzium may suspend or terminate your access to the Services at any time, with or without notice and with or without cause, including if Payzium reasonably believes you have breached these Terms or used the Services in a manner that exposes Payzium or other Users to risk.
Effect of termination. Upon termination, your right to use the Services ends. Sections that by their nature should survive termination (including Sections 5.5, 6, 10, 11, 13, 14, 15, 17, 18, and 19) will survive.
17. Governing Law and Dispute Resolution
17.1 United States Users (Payzium Corp)
Governing law. If your business is located in the United States or another jurisdiction for which Payzium Corp is your counterparty, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Mandatory individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, except that either party may bring an individual claim in small-claims court. The arbitration will be conducted in English. The seat of arbitration will be Wilmington, Delaware, United States, and may be conducted by video conference. Judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER. EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. IF THIS CLASS-ACTION WAIVER IS HELD UNENFORCEABLE, THEN THE ENTIRE ARBITRATION PROVISION IN THIS SECTION 17.1 WILL BE NULL AND VOID, AND ANY DISPUTE WILL INSTEAD BE LITIGATED IN THE COURTS DESCRIBED BELOW.
Carve-outs. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual-property rights, confidential information, or to enforce the class-action waiver above. The exclusive jurisdiction for any such proceeding, and for any Dispute not subject to arbitration, is the state and federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction in those courts.
Opt-out. You may opt out of the arbitration agreement and class-action waiver in this Section 17.1 by sending written notice to legal@payzium.com within thirty (30) days of first accepting these Terms. The notice must include your business name, your name, and a clear statement that you wish to opt out. Opting out of arbitration does not affect any other part of these Terms.
17.2 Quebec Users (Payzium Holding Inc.)
Governing law. If your business is located in the Province of Quebec, these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Forum. Any Dispute will be brought exclusively in the courts of the District of Montreal, Province of Quebec, Canada, and the parties consent to personal jurisdiction in those courts.
Language. (a) Québec: French first. If your business is located in Québec, the French version of these Terms and the French versions of all related documents forming part of your signing package are remitted to you before you accept. Unless you expressly elect to be bound by the English version after the French version has been remitted to you, you accept and are bound by the French version.
(b) Québec: express English election. If, after the French version has been remitted to you, you expressly elect to be bound by the English version, the English version may be used as the binding version, subject to any rights you have under the Charter of the French language and applicable Québec law. Where a French version and a version in another language of these Terms or of any related document both exist, you may, in case of discrepancy, invoke either version according to your interests, as provided by section 91 of the Charter of the French language.
(c) Outside Québec. If your business is located in Canada outside Québec, in the European Economic Area, the United Kingdom, or Switzerland, the parties confirm their express wish that these Terms and all related documents be drawn up in English. Les parties confirment leur volonté expresse que les présentes Conditions et tous les documents qui s'y rattachent soient rédigés en anglais.
17.3 Other Canadian, EEA, UK, and Swiss Users (Payzium Holding Inc.)
Governing law. If your business is located in Canada outside the Province of Quebec, the European Economic Area, the United Kingdom, or Switzerland, these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Forum. Any Dispute will be brought exclusively in the courts of the District of Montreal, Province of Quebec, Canada, and the parties consent to personal jurisdiction in those courts. Nothing in these Terms is intended to deprive a User in the European Economic Area, the United Kingdom, or Switzerland of the protection of mandatory consumer-protection rules of their place of residence to the extent those rules apply.
Language. For users covered by this Section 17.3, the express-wish clause in Section 17.2(c) governs the language regime.
18. Changes to These Terms
Payzium may update these Terms from time to time. When we do, we will revise the "Effective date" and "Last reviewed" dates at the top. If the changes are material, we will provide additional notice (for example, by email to active Users, by a banner on the Services, or as required by applicable law) before the changes take effect. Your continued use of the Services after the effective date of a revised version of these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
19. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any signed agreement that expressly references and supplements these Terms, constitute the entire agreement between you and Payzium regarding the Services and supersede all prior or contemporaneous communications and proposals on the subject.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
No waiver. A failure to enforce a provision is not a waiver of the right to do so later.
Assignment. You may not assign these Terms without Payzium's prior written consent. Payzium may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
No third-party beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights. The acquirer or processor that boards your account is an intended third-party beneficiary of Sections 5, 9, 11, 13, 14, and 15 only.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, internet or telecommunications outages, governmental action, or pandemic.
Independent contractors. The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
Notices. Payzium may give notice by email to the address you provided, by a notice on the Services, or by mail to your business address. Notices to Payzium must be sent to the address in Section 20 with a copy to legal@payzium.com.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
